Specifically, one of the board members, Amy Boulris, has been replaced by Tammy Mentus, as outlined in the board minutes. We want to make sure it is noted that Amy Boulris has never been on the board of wired4sport. It was a misunderstanding on our part.”

“wired4sport inc. Board mtg minutes 5/20/24 Minutes of the Board Meeting of wired4sport Date: May 20, 2024 Time: 6:11pm - 6:31pm Present: Dr. Valerie J. Gin (Val), Sonia Yuen Weston (Sonia), L. Tammy Mentus (Tammy) The meeting was called to order with recognition of the establishment of wired4sport inc. (wired4sport) on December 12, 2023. Two agenda items were addressed. The board unanimously agreed to rectify board member positions as follows: Valerie J. Gin as Chairman of the Board, Sonia Yuen Weston as Secretary, and Tammy Mentus as Treasurer. It was observed that Amy Boulris had been inaccurately designated as Treasurer in the initial documentation and was never a member of the board. In addition, Jen Bell was also inaccurately listed as a member at large and will not be serving in any capacity. Sonia presented a motion for the acceptance of the updated board positions and the modification of the bylaws to reflect the removal of Amy Boulris as Treasurer. This motion was seconded by Tammy. The board engaged in discussions regarding the establishment of an annual salary for Val, as requested in the application for 501(c)3 status. It was proposed that Val be granted an annual salary of $100,000, effective January 1, 2024. Val has initiated arrangements with a financial advisor to establish a 401k plan, and the salary will be disbursed on the first day of each month. The current budget includes a donation of $200,000, with $100,000 designated for Val's annual salary and the remaining $100,000 allocated for administrative expenses, travel, product development, and marketing. Delaney has been hired to oversee promotions and manage social media, with a compensation rate of $20 per hour for up to 30 hours per week on an as needed basis. In addition, a donor has pledged to contribute $200,000 annually over the next 5 years, with half of the amount designated for Val's salary. Sonia motioned for the approval of an annual salary of $100,000 for Val, to be paid on a monthly basis starting January 1, 2024. Tammy seconded this motion. The meeting was adjourned at 6:31pm.
