Professional relationships exist between the Treasurer's public accounting firm and other board members.

Form 990, Part VI, Line 11B: Form 990 Review Process

A copy is provided to each board member for review prior to a meeting where it is discussed with the preparer.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Each director and paid staff member completes a Conflict of Interest disclosure questionnaire annually. These are reviewed by the entire board and kept in the custody of the Foundation Manager (executive director).

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

All compensation is set by the board of directors at large. Compensation levels are at or below those of comparable non-profit organizations in the Pacific Northwest. The Foundation has only one full-time paid staff member, the Foundation Manager (executive director). She receives a W-2 form.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The officers donate their services in their capacities as officers; therefore, no W-2 forms are required. However, the Treasurer's CPA firm provides professional services to the Foundation aside from her work as an officer; payments for these services are pursuant to a contract with the Foundation as approved by its board of directors (with the applicable party recusing herself from the approval process). The compensation shown in Part VII Section A relates to these professional services on a calendar year basis and in Part IX on a fiscal year basis. Since the Treasurer's CPA firm is a professional corporation, form 1099-MISC is issued for the related professional fees, rather than a W-2. Since she is a related party in her capacity as Treasurer, the fees are reported as officers compensation in parts VII& IX.

One grant purchased a baby grand piano that was awarded to Portland's Youth Music Project for music education. $25,000 of concert expense consists of production costs allocable to the program aspects of the shows, which provide performance and audience opportunities for multiple youth in accordance with the Foundation's mission. In addition to the program aspects of the concert, other uses of the proceeds included support of the musical instument donation program and scholarships discussed below.
