Yes, several trustees have attorney/client relationships and financial/investment management relationships with other trustees.

The organization's governing body, the Board of Trustees, has delegated authority to its Executive Committee. The Executive Committee is composed of officers of the Board and selected additional Trustees. The Executive Committee has the authority to make decisions and act in all matters on behalf of the board.

Form 990, Part VI, Section B, line 11B

Approximately one week prior to filing, the draft Form 990 will be sent electronically to all trustees, with an email calling their attention to portions of the form most likely to be read by the public and funders on Guidestar. In addition, representatives of the board, appointed by the board chair, will review and discuss, either in person, via telephone, or via email, the draft in advance of filing.

Each director, principal officer, member of a committee with board-delegated powers, key employee shall annually sign a statement which affirms that such person: (1) has received a copy of the conflict of interest policy; (2) has read and understands the policy; (3) agrees to comply with the policy; (4) understands that the policy applies to all committees and subcommittees having board-delegated powers; and (5) understands that the foundation is a charitable organization that must engage in activities that accomplish one or more of its tax-exempt purposes to maintain its exempt status.

Each year, trustees complete a board evaluation that rates and gives feedback on the performance of the organization's CEO. In 2014-2015, a review of salary trends for the organization's CEO was also conducted by the Board of Trustees and reviewed in Executive Session. A full CEO evaluation will take place in 2018.

Financial Statement Notes

Part V, Line 4:

Board-designated quasi-endowment: As of June 30, 2018, The Library Foundation Board of Trustees held $9,645,409 of unrestricted net assets, received as unrestricted bequests, as a quasi-endowment fund. This fund supports foundation activities, including support for Multnomah County Library, and pays for a portion of foundation operations. Permanent endowment: Funds designated by donors as endowment funds are held in perpetuity. The income generated from investment of permanently restricted endowment funds is managed by The Library Foundation and is used in accordance with the donor's wishes to fulfill commitments to Multnomah County Library. The Library Foundation disburses these funds in accordance with the board-approved spending policy.

Part X, Line 2:

The foundation follows the provisions of FASB ASC Topic Accounting for Uncertainty in Income Taxes. Management has evaluated the foundation's tax positions and concluded that there are no uncertain tax positions that require adjustment to the financial statements to comply with provisions of this Topic.

IRS990/Desc0School-age literacy programs reached into all 8 school districts and out into the community, engaging more than 124,000 children and teens in activities that cemented reading skills and academic success. Four primary investments last year: Books 2 U brought inspiring "booktalkers and take-home books to over 22,000 students attending low-performing public schools. Summer Reading reached 111,000 babies, children and teens, including 98% of elementary school students in the county. In one of our highest-risk neighborhoods, the new Rockwood Library Makerspace brought a safe, hands-on, technology-rich learning environment and programming to more than 600 teens. Welcome to Reading Literacy Kits and STEM Kits, available at all library locations, reached more than 25,000 children and parents.

Targeting families who are at greatest risk for low literacy, these programs help parents become the first, best and most permanent teachers of their children. The New Parent Program reached 7,000 newborns and parents in hospitals, encouraging parents to read to their newborn at home and visit the library. Every Child A Reader reached 32,000 young children and parents, sending books home weekly in 17 languages, educating parents, and motivating families to read together. The WIC partnership educated 7,000 moms about early brain development. Dia de los Ninos reached 9,800 children, parents and caregivers with bilingual literacy programs.

Everybody Reads and the Teen Author Program reached students by bringing books, curriculum and discussion groups to 30 middle and high schools and youth organizations, transforming how students experience reading, writing, and the significance of the written word. Children and adults accessed free arts, cultural and humanities programs at branches across the system. Seniors and adults participated in the Everybody Reads community-wide reading program, including lectures and book discussion groups.
