Governance Explanations

Form 990, Part VI, Section A, Line 6

On february 23, 2022, our board of directors brought an official motion to our membership during the annual meeting: "the ivcando board is proposing an update of our bylaws. The ivcando board of directors proposes to discontinue operating as a membership organization for several reasons: membership has dwindled from several hundred to less than two dozen. The rights of ivcando members are identical to those of any illinois valley resident to attend our board meetings, offer ideas as to how best to operate or to volunteer in programs. Regular board meetings are open to the public. Email [email protected] to attend virtual board meetings. Voters for new and continuing board members have historically approved every candidate. The staff of ivcando will prioritize efforts to inform the public of our activities and programs through current media efforts, our website, facebook page, newspaper articles and kxcj announcements. If the motion to end general memberships is approved, the board of directors will be responsible to appoint new board members as vacancies or term limits arise." 21 members voted yes to end the membership model. 4 members voted no. The board of directors updated the bylaws to reflect the change.

An annual general membership meeting is held in march to elect new board members for any expiring or vacant seats. All candidates for the board must be general members for at least 30 days prior to election. Elections are held according to ivcdo bylaws.

The organization has in place procedures to address board review of the form 990 before filing.

Form 990, Part VI, Section B, Line 12C

New vendors are reviewed upon contract award to determine any conflicts of interest with current employees, directors, officers or key employees. Employees are required to sign a statement that they have read and understand all policies included in their employee manual. A written conflict of interest policy is included in all new board member packets. The board updated the conflict of interest policy in 2011 and 2016. The board of directors adopted a statement "recognizing historic inequity and discrimination in oregon" to support it economic development programs.

The board of directors and executive staff determine compensation based on industry standards, funding allocations, and other organization conditions. Executive staff is recused during the determination of the executive staff's compensation.

The internal revenue service has determined that illinois valley community response team is not a private foundation. STORIES WERE COLLECTED FROM RURAL LGBTQ+ FOLKS FROM ACROSS OREGON ABOUT PERSONALLY SIGNIFICANT SONGS. DANCES THAT WERE CHOREOGRAPHED TO THESE SONGS WERE THEN PERFORMED BY OUR LGBTQ DANCE ENSEMBLE IN A COVID FRIENDLY VIRTUAL PERFORMANCE THAT BENEFITED ORGANIZATIONS ACROSS THE STATE.
