“Amendments to the organization's bylaws were adopted in april 2015. Changes included increasing the number of director meetings from biannually to quarterly, changing the number of members of the executive committe to four, requiring that the chairman of the executive committee be the president of the board rather than the position being designated by the board of directors, and limiting each executive committee member's term to no more than one year beginning at the time the board elects its officers.”

“The Executive Director and Chief Financial Officer review Form 990 in its entirety. Form 990 is then forwarded on to the board Treasurer for final review before filing.”

“The Museum circulates a conflict of interest questionnaire annually that all board members are required to complete and return to the Museum. Board members are trained on conflict of interest annually either as part of the annual meeting or as a separate stand-alone training session. The last such training session and review of the Conflict of Interest Policy occurred during the April 2016 Board Meeting. The conflict of interest review with the Officers has been conducted by the Museum Counsel annually. The last such review occurred in August 2016. The process for the Officers is being formalized to occur simultaneously with the Board review and utilizing the same questionnaire.”

“The board of directors approves the compensation package for the executive director and chief financial officer after deliberation with independent sources and comparisons to prevailing market conditions. The last time this process was undertaken was august 2015 for the executive director and march 2015 for the chief financial officer.”
