“The board of directors has an executive committee consisting of the board's officers, the immediate past president of the board, and the executive director as an ex-officio member. The executive committee has the authority of the board in the management of the opca, board work programs, any projects of board committees, and to transact business between regularly scheduled meetings of the board of directors in keeping with the organization's mission, bylaws, and articles of incorporation. The executive committee makes recommendation to the full board regarding decisions that have a significant impact on opca and its members. The executive committee: (a) reviews the mission, vision, and values for opca, and serves as an advisory committee to strategic planning processes led by opca; (b) advises opca regarding the goals of the training and ta programs in the areas of quality, clinic management, financial management and leadership; (c) reports all business transacted by itself to the board of directors at the board's next meeting; and (d) addresses the process of selection, review, and dismissal of opca's executive director and, as necessary, guides the executive director in developing sound and realistic personnel programs for the opca.”

“Opca has two membership caterories. The first category consists of bureau of primary health care ("bphc") 330-funded fqhcs and federally designated fqhc look-alikes. The second category, affiliate members, includes other organizations and individuals interested or involved in the promotion of primary care who support opca through the payment of dues. All fqhcs and fqhc look-alikes who have paid their dues have one vote and affiliate board memebers sitting on the governing board have one vote.”

“Board members are elected by a majority vote of the members at the annual meeting.”

“Any board member may be removed from office with or without cause by the vote of the members at any special meeting called for such purpose or at any regular meeting of the members.”

“The 990 was reviewed by the excutive director, the finance and operations senior director, the board president, and the board treasurer prior to filing.”

“Opca requires staff and candidates for board memebers to annually complete a disclosure of interest form. Staff shall make disclosures in writing to the executive director and/or designated employees while the executive director shall make disclosures to the chair of the board who will, in-turn, be responsible for advising the board of such disclosures. Disclosures must be made at the at the date of hire and updated annually or within seven days of a status change in a staff memebers' interest in order to facilitate opca's determination as to whether conflict exists.”

“An outside hr consultant meets with the board president to review salary surveys sharing the results with the executive committee. The executive committee evaluates the executive director and the board president sets up and negotiates the new contract for the executive director. The process was last completed in december 2025.”

“The organization's governing documents, conflict of interest policy, and financial statements are made available upon request.”
