Governance Explanations

Form 990, Part VI, Section A, Line 2

Resident Director Russell Wojcik is related by marriage to Director Ed Heidelbach. Both are related by marriage to employee Janet Wojcik. When there is any employee matter concerning wage or performance of their relative, they are recused from voting on the matter.

Form 990, Part VI, Section A, Line 6

We have members. The members vote annually for directors. Members also nominate names to be on the director ballot.

Form 990, Part VI, Section A, Line 7A

Yes. Members nominate board candidates. They also vote for nominated board candidates.

Form 990, Part VI, Section A, Line 7B

Members are notified of governance changes to the organization's Bylaws. The number of members constituting a quorum for voting will be ten percent of the membership represented in person or by proxy. The majority of this quorum constitutes the decision for the adoption of any matter voted upon. Matters presented to the membership requiring a vote must be delivered in writing to each member no less than five days nor more than 40 days before the date of the members' meeting.

Form 990, Part VI, Section B, Line 11B

Our completed Form 990 was emailed to the Board members for their review, and comments as needed.

Form 990, Part VI, Section B, Line 12C

Each year, in June when the new Board meets, each Board Member shows compliance with written policy concerning Conflicts of Interest by signing our form stating the procedure. A signed copy is retained by the Secretary.

Form 990, Part VI, Section C, Line 19

The governing documents (Policies & Procedures Manual) contains the Conflict of Interest Policy, and are available to the public and to our members/residents in the Living Room of the Main House, The red 3-ring binder is kept on the coffee table of that room. Our monthly financial statements are kept, bound by month, on the coffee table of the Main House communal living room for anyone to examine.

Additional Explanations

Form 990, Part XI, Line 9

This adjustment comprised of unrealized losses of -21,734 which is already in our 'expense total' plus the $2,604 Investment Advisor fees, which is also already in our 'expense total'......therefore we entered "0" in those spaces.

Financial Statement Notes

Schedule D, Part II, Line 9

Conservative Easement: Easement is by City of Gresham, 1333 NW Eastman Parkway, Gresham OR 97030 for the purpose of building a Public Bike Path. When the Bike Path is completed, the City of Gresham will take care of all expenses to maintain it. Easement consists of .0542 of an acre. Proceeds of the easement reported as Miscellaneous Corporate Revenue in the year received. It is not shown as a line item on our Balance sheet because it has become a part of Equity.

Schedule D, Part V, Line 4

Funds may only be used as a low income subsidy of monthly rent, meals, phone, and in-home care services for a qualified low income resident. The fund may also be used to assist a qualified prospective resident with transportation and or moving expense to relocate to the Center. Written policy details the application process, financial guidelines and Board approval process required before an on-going subsidy becomes effective for a Resident. This is a Board designated Endowment.

Schedule D, Part X, Line 2

Line 2, Life Tenancy Liability - Residents who are under a Life Tenancy agreement, paid a lump sum for Life Tenancy, and that amount is decremented over ten years. This amount is owed to such Residents if they move out or die before their Life Tenancy has been fully used up. Line 3, Refundable Estate Fee Liability - These funds belong to Residents who are under a Life Tenancy agreement, and when they die or move away, this amount will be refunded to them. It does not accrue interest. Line 4, In-Home Care Reimbursement Fund Liability - When a resident moves into the Center, a $500 sum is gifted to them and may be used upon submitting documentation showing the in-home health related services have been paid by themselves. They may draw on this fund at their decision. Each resident receives only a one time gift of $500, to be used up in the manner detailed in our procedures. It is designed to allow residents to see how some in-home health services may enable them to remain in their own homes for a longer period of time.
