The bylaws were amended to allow an opb board committee to authorize the sale, lease, exchange or disposal of (or delegate to opb's president the authority to sell, lease, exchange or dispose of) relatively low-value assets of the corporation without full board approval.

Form 990, Part VI, Section B, Line 11

The audit committee of the board of directors reviews the form 990. A copy of the form 990 is then distributed to all governing board members for their review prior to filing.

Form 990, Part VI, Section B, Line 12C

Opb annually collects and reviews conflict of interest disclosure forms from all directors, officers and key employees. When an annual disclosure form indicates the existence of a conflict of interest or a potential conflict (or when a conflict is otherwise discovered or reported), the board chair, the president and/or the governance committee conduct a review. Conflicted individuals may provide information but may not participate in the decision-making process for such transactions. A transaction involving a conflict of interest may be approved by the board if the material facts are fully disclosed and the independent directors approve the transaction in good faith. Opb maintains a list of potentially conflicted entities and individuals. This list is maintained by opb's legal and finance departments, which will review the list on a regular basis prior to entering into proposed transactions. Opb will document in board minutes any decisions related to transactions involving actual or potential conflicts of interest.

PART V, LINE 4:

Opb's endowment consists of approximately 22 individual funds established for a variety of purposes. It includes both donor restricted endowment funds and funds designated by the board of directors to function as endowments. Opb uses a spending rate of 5% on these funds, and the funds are used for general operations, programming, internships and capital improvements.

PART X, LINE 2:

The organization recognizes the tax benefit from uncertain tax positions, if any, only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlements. The organization recognizes interest accrued and penalties related to tax matters in administrative expenses. The organization had no unrecognized tax benefits at june 30, 2014 or 2013. No interest and penalties were accrued for the year ended june 30, 2014 or 2013. The organization files an exempt organization return and unrelated business income tax return in the u.s. Federal jurisdiction and a corporate tax return in oregon and is no longer subject to income tax examinations by taxing authorities for years before 2010 for its federal and state filings.
