Governance Explanations

Form 990, Part VI, Section B, Line 11

Information for form 990 is prepared by the internal accounting staff and reviewed by the corporate accounting manager. The director of finance and accounting reviews the final 990 completed by the external cpa and then submits to the executive leadership team for review and signature.

Form 990, Part VI, Section B, Line 12C

Conflict of interest is defined for the board of directors in the organization's bylaws and the policy is described in the organization's employee handbook, with examples. Employees at the beginning of their employment are expected to read and understand the policy and acknowledge their understanding by signing a document held in their employee file in the human resources department.

Form 990, Part VI, Section B, Line 15A

Determination of compensation for the executive director includes a review and analysis by the organization's human resources department, which uses demographic data and surveys from an independent consultant to determine appropriate and competitive wage and salary ranges. Executive director compensation is subject to board approval.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are made available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Peci is a nonprofit corporation exempt from federal and state income tax under section 501(c)(3) of the internal revenue code. No provision for income taxes is made in the accompanying financial statements, as the organization has no activities subject to unrelated business income tax. The organization is not a private foundation. The organization recognizes the tax benefit from uncertain tax position only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The organization recognizes interest and penalties related to income tax matters, if any, in administrative expense. The organization had no unrecognized tax benefits at december 31, 2013 or 2012. No interest and penalties were accrued for the years ended december 31, 2013 or 2012. The organization files an exempt organization return in the u.s. Federal jurisdiction and with the california franchise tax board and oregon charities division, and is is no longer subject to income tax examinations by taxing authorities for years before 2010 for its federal and state filings.
