“The organization is an association with members. There are two classes of membership: provider and associate. Provider members are required to pay membership dues and have full rights of membership, including the right to vote on all matters before the members. Provider members may serve (by individual representation) on the board of directors, as officers and upon any board committees. Associate members are required to pay membership dues but do not have the right to vote on matters before the members. Associate members have the right to serve on the board of directors, as officers, and upon any board committees.”

“The organization has a conflict of interest policy that applies to all board, committee, and task force members. If there is a matter in which the individual believes they have a conflict of interest, they must (a) disclose to the board, committee, or task force chair the facts pertaining to such conflict, and (b) abstain from participating in debate and voting on the matter about which there may be a conflict. A transaction involving a conflict may be authorized if it receives affirmative vote of a majority of the remaining board members. Any violations of this policy may result in removal from the board, committee, or task force.”

“The organization's national association (leadingage) has an executive forum that does an annual salary survey of executive directors of state affiliates around the country. The survey is supplied to the committee of the leadingage oregon board that reviews/evaluates the executive director at the time of the executive director evaluation.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
