Nwea updated our by-laws in october 2020 to add the coo position as an officer of the corporation, to state the duties of the coo, and to note that in the absence of both the ceo and president, the coo shall exercise the powers and duties of the ceo.”

The failure of any director of the board of directors to sign such a statement at least once every twelve (12) months will disqualify that individual from further service as a director of the board of directors until the required statement is signed. Failure to sign by a key employee will result in immediate review under the direction of human resources in conjunction with the chief financial officer. All directors and key employees are required to annually complete conflict of interest disclosures. These are reviewed by the corporate secretary to determine whether there are any potential conflicts of interest. If there is a potential conflict of interest at the key employee or board level, the potential conflict is brought to the board for review and determination regarding the potential conflict.”
