Governance Explanations

Form 990, Part VI, Section A, Line 2

The University's President, Judith Johansen, sits on the Board of Schnitzer Steel Inc. Chip Terhune, a Trustee of the University, is employed by Schnitzer Steel Inc. The two share a business relationship.

Form 990, Part VI, Section B, Line 11B

The Board of Trustees has delegated the review of the Form 990 to the Audit Committee. Prior to filing, the Form 990 is reviewed internally by the Audit Committee, President, Vice President for Finance and Campus Services, AVP/Controller, and Assistant Controller. Subsequent to this review, the Audit Committee reports back to the Board of Trustees regarding its oversight of the Form 990. The Form 990 is electronically sent to each Trustee prior to filing and paper copies are made available upon request.

Form 990, Part VI, Section B, Line 12C

Key employees, officers and Trustees annually review and sign the University's Conflict of Interest Disclosure form. The Board of Trustees is made aware of any conflict of interest. Those with conflict of interest are to refrain from participating in the consideration of proposed transactions, unless the Board of an Administrator requests information or interpretation. Trustees or officers with conflicts shall not vote. At the request of the Board Chair, the covered person with a conflict may be asked to leave the meeting during discussion and/or vote. Human Resources and the President's offices monitor for compliance.

Form 990, Part VI, Section B, Line 15

For the President, the University looked to a recruiting agency who performed an environmental scan of presidential compensation. The results were reviewed by the Board of Trustees, who then decided the compensation package. For top management, Human Resources performed an analysis of compensation packages among the industry and compared the results to internal benchmark criteria and budget. Top management receives annual performance reviews, which are also compared against internal benchmark criteria.

The University has a small collection of art, historical treasures, and other similar assets. The collections includes paintings, pictures, statues, and a doll collection. Some of the pieces have been purchased by the University. Parts of the collection is on display.

Scholarships make up 81% of the endowed funds. The remaining 19% of the endowment is restricted to music, English literature and writing, and general support of the University. The Board designated quasi-endowment is used for special projects as authorized by the Board.

Financial Statements Footnote 2(g) Income Taxes - The Internal Revenue Service has recognized the University as exempt from federal income taxes under the provisions of Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3) of the Internal Revenue Code except to the extent of unrelated business income under Sections 511 through 515. The University accounts for uncertainty in income taxes in accordance with the Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) No. 740-10, Accounting for Uncertainty in Income Taxes, - an interpretation of FASB Statement No. 109; however, management has not recorded a provision as of June 30, 2014, as unrelated business income, if any, is immaterial to the financial statements.
