Governance Explanations

Form 990, Part VI, Section B, Line 11B

A pdf copy of the completed form 990 is sent to each board member by e-mail for their review and discussion.

Form 990, Part VI, Section B, Line 12C

Annually (each september), every board member must complete the conflict of interest declaration form, which is then reviewed by the human resources department and filed. In addition, when a new board member joins the board mid-year, they must complete the conflict of interest declaration form. At a meeting of the board of directors or board committee, a board member who is associated with the transaction at issue may state his or her views, and shall respond to questions as to any related party transaction, including prohibited transactions, in which he or she is involved, but only independent board members shall be present for and participate in deliberations or voting as to any related party or prohibited transactions.

Form 990, Part VI, Section B, Line 15

Annually, the executive/personnel committee of the board reviews the salaries of the agency directors (executive director, finance director, human resource director, operations director, head start director, and early head start director). The committee also reviews the data in an independent salary survey. A report is given to the board as a whole, which then approves the salaries. The approval is documented in the board minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available for public inspection upon request, a copy of the document(s) can be obtained by requesting in person, in writing or via telephone.

Financial Statement Notes

PART X, LINE 2:

The organization is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If a tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The organization has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.
