Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

Regular members consist of restaurant and other food establishment owners and operators, as well as hospitality and lodging owners and operators. Associate members consist of businesses that supply products and services to the restaurant, hospitality and lodging industries.

Form 990, Part VI, Line 11B: Form 990 Review Process

The form 990 will be completed annually, and copies will be provided to a subcommittee appointed by the chair of the finance-audit and bylaw committee, as well as the president/ceo of the organization. At that time the president/ceo will review the form 990 with the subcommittee of the finance-audit-bylaw committee and the organization's fiscal officer. Any necessary changes will be updated on the form. After all necessary changes have been made, and the president/ceo are in agreement with the subcommittee of the finance-audit-bylaw committee and the fiscal officer, the completed form 990 will be signed and dated by the president/ceo and submitted by the filing deadline. A copy of the approved form 990 will be provided to all of the officers, directors and trustees of the organization.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The board has adopted and abides by a conflict of interest policy. Each board member or key employee is required to disclose any conflict or potential conflicts during the appointment or hiring process. The board reviews this information to determine the impact of the conflict or potential conflict. Board members and key employees have an ongoing obligation to notify the board promptly of any such transactions that subsequently arise.
