“The Public Charity Class directors shall be appointed by the Public Charity Designator (Silicon Valley Community Foundation). Each Public Charity Class director serves at the pleasure of the Public Charity Designator. Upon completion of the term of office or upon the death, resignation, or removal of a Public Charity Class director, the Public Charity Designator shall appoint a successor director by notifying the Secretary of this corporation in writing. If a Public Charity Designator ceases to serve in that capacity, any director appointed by that Public Charity Designator shall serve out his or her term notwithstanding the departure of the Public Charity Designator. The Donor Class directors shall be appointed by the Donor Designator (Chris Larsen). Upon completion of the term of office or upon the death, resignation, or removal of a Donor Class director, the Donor Designator shall appoint a successor director by notifying the Secretary of this corporation in writing. If a Donor Designator ceases to serve in that capacity, any director appointed by that Donor Designator shall serve out his or her term notwithstanding the departure of the Donor Designator.”

After disclosure by the interested person of all related financial interests and all related material facts, the board will discuss and make a determination if a conflict of interest exists. In the event the organization is considering a procurement of services from an organization in which an interested person is an officer, director, or is employed, the interested person shall so inform the governing board of the conflict. The interested person may be present during the deliberation to answer questions, but must recuse himself/herself from voting on the procurement.”
