Prior to filing, the draft form 990 is reviewed by the organization's accounting staff, management, and board of directors. The accounting staff first reviews the draft for financial accuracy and consistency with internal records. Management then reviews for completeness and accuracy of programmatic and governance information. The draft is distributed to the board for review and comment before submission. Once all feedback has been incorporated and management approves the final version, the preparer files the form 990 electronically. A copy of the filed return is retained in the organization's permanent records and made available to the public upon request.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms such person: (a) has received a copy of the conflict of interest policy; (b) has read and understands the policy; (c) has agreed to comply with the policy; and (d) understands the corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board of directors ("board"), and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The minutes of the board and all committees with board delegated powers shall contain: 1. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the board's or committee's decision as to whether a conflict of interest in fact existed. 2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

PART III, LINE 4:

The foundation's art/technology collection consists of contemporary works by globally-sourced artists, students and innovators, with a particular emphasis on historically overlooked groups (including women and under-represented creators in art, science and technology). The collection is continually augmented with 'cutting-edge and compelling' works. The collection advances the foundation's exempt purpose by making these works available to the public through exhibitions, partnerships, tours and educational events (including at the 'floating art museum' on the oakland estuary). These activities aim to inspire and educate emerging creators and inventors, promote gender and racial equity in the arts and sciences, strengthen community cultural vitality, and support environmental and technological innovation. In this way, the collection functions not as a passive holding but as an active tool of educational and charitable outreach.
