“The form 990 will be completed no later than oct 1st and copies will be provided to the entire governing board as well as the executive director of the organization at least 1 week prior to filing the return with the irs. The president of the board will review the 990 with the finance and audit committee and fiscal officer. Any necessary changes will be updated on the form. Once all necessary changes are made and the president is in agreement with the audit committee and fiscal officer on the finished form 990, it will be signed by the executive director, dated and submitted no later than the filing deadline. A copy of the approved form 990 will be provided to all of the officers, directors, and trustees before the return is filed.”

“Prior to board or committee action on a contract or transactoin all interested persons in attendance with any actual or possible conflicts of interest shall disclose his/her financial interest and all material facts. Such disclosure shall be reflected in the minutes of the meeting. After disclosure of the possible conflict of interest the person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Such vote shall be reflected in the minutes of the meeting.”
