“The Board employs two Boeing employees to perform day to day business management and accounts payable functions. Because the Boeing Leadership Network and Boeing are two separate legal entities, the Boeing Leadership Network pays Boeing monthly for the labor cost associated with the Business Manager and assistant treasurer.”

“The governing documents were revised to expand the reach of the Boeing Leadership Network to all Boeing employees. The bylaws were revised to remove Washington/Puget Sound specific language to expand scope to all Boeing employees. As Boeing has expanded to regionally and globally, the bylaws have been changed to reflect that.”

“Boeing Leadership Network membership consists of eligible dues-paying Boeing managers and former managers and Executives who have voting rights and may hold elected office or serve on the Executive Board. BLN also consists of retired members, however such members do not have voting rights and shall not hold elected office or serve on the Executive Board. Voting members are reserved the power to elect Executive Board officers. Voting members are also reserved the right to vote on any proposed changes to the organization's Articles of Incorporation. Elected Executive Board Officers and Voting Members have voting rights to alter the Bylaws of the organization.”

“The 990 form is stored on the Boeing Leadership Network fileshare owned by the Boeing Company. The fileshare is accessible to all officers of the Boeing Leadership Network. For 2020 the Form 990 was made available via e-mail for review by the Executive Board.”

“Boeing Leadership Network (BLN) articles and bylaws include governing documents, and are available to members by the BLN website but not the general public. Conflict of interest associated with event coordinators and gratuities is described in the event coordinator instructions through the BLN business office.”
