“The board shall appoint an executive committee of not fewer than three (3) directors to serve at its pleasure. Unless otherwise changed by the board by resolution, the executive committee shall consist of the board officers who are directors. The executive committee shall meet as often as necessary as called by the chairperson. At all meetings of the executive committee, each director present shall have one vote on any matter and except as otherwise provided by the act or these bylaws, the action of a majority of executive committee members at a meeting shall be the act of the executive committee. The executive committee will have the authority to exercise all of the powers of the credit union's board of directors, except that the executive committee will not have the authority of the board of directors in reference to: - amending the credit union's bylaws or articles of incorporation - exercising the non-delegable powers under the act - removing or suspending officers from their office or committee members from their committees under article vi, section 9 - appointing interim directors under article vi, section 11 - adopting a plan of merger or liquidation, or changing the charter of the credit union”

“Participation in this credit union is limited to those who qualify for membership as defined in the credit union's charter and bylaws. This generally consists of individuals who live, work, worship, or go to school in washington state and enterprises or organizations located in the same area identified, directors, employees, volunteers and retirees of enterprises or organizations, and members of northwest credit union foundation. In addition to a regularly qualified member, the spouse of a member, the blood or adoptive relatives of either of them and their spouses may be members.”

“Members vote to elect board and committee members.”

“Members of the credit union have the right to approve the governing body's election and removal of members of the credit union as they occur.”

“The cfo is responsible for the form 990. The cfo will review and send to the ceo for signature. The board of directors will be notified upon filing of the return and a copy of the return will be provided to the members of the board upon request.”

“In addition to the requirements and restrictions of the credit union code of ethics, no director, committee member, officer, or employee of the credit union may have a pecuniary interest in any contract or transaction with the credit union unless this interest is disclosed and made known to the board of directors. No director or committee member of the credit union shall participate in the deliberation of any question affecting their own pecuniary interest. Such director or committee member shall withdraw from the deliberation and decision upon such interest.”

“The board of directors independently determines compensation for the ceo by using industry benchmark surveys. Salary surveys are documented by human resources. Decisions are documented by a memo that is approved by the executive committee (board) members. Compensation of other officers and key employees is performed by the president/ceo. Industry benchmark surveys are used and the decision is documented by human resources in the personnel files of the employee. This process was last completed in 2024.”

“Governing documents and conflict of interest policy are not made available to the public. Financial statements are included as part of the annual report and are made available to current and potential members.”
