Governance Explanations

Form 990, Part VI, Section B, line 11B

The Accountant works with the independent accountants to prepare the draft Form 990, which is reviewed by the Executive Director, then presented for review to the Finance Committee. The Finance Committee reviews and approves the draft version. The final version is presented to the board for approval before it is filed.

Form 990, Part VI, Section B, line 12C

Any suspected conflict of interest is presented to the governing board for their review. This policy affects all Trustees, officers, directors and key employees. The governing board makes the determination if the conflict presented is acceptable or not to the organization.

Form 990, Part VI, Section B, line 15A

An executive compensation plan was put in place for the Executive Director in 2009.

Form 990, Part VI, Section C, line 19
