Governance Explanations

Form 990, Part VI, Section A, line 6

The organization has approximately 2,700 members who support the organization's mission, receive the newsletter, participate in programs and vote for the organization's officers and directors.

Form 990, Part VI, Section A, line 7A

Members of the organization elect the organization's officers at the annual meeting each year.

Form 990, Part VI, Section B, line 11

A draft is circulated by email first to the finance committee for review and comment, then to the board for review prior to signing.

Form 990, Part VI, Section B, line 12C

All board members, directors, and key employees are provided a copy of the conflict of interest policy annually and are required to complete and sign an annual disclosure statement regarding any potential or actual conflicts. These disclosure statements are reviewed by the president and executive director to ensure compliance with the policy. Should any conflicts be found, the individual must abstain from participation in related decision making, and, if necessary resign from the board.

Form 990, Part VI, Section B, line 15A

A committee of directors or officers who have personnel backgrounds gather compensation information from comparable organizations in this employment region. That information is then provided to the executive committee who establishes, with full board approval, the executive director's salary.

Form 990, Part VI, Section C, line 19

Governing documents, conflict of interest policy and financial statements are available to the public upon request. A summary of the annual financial statements is included in the organization's newsletter to members, local libraries, and representatives of the local media, and posted on the organization's website.

Financial Statement Notes

Part II, Line 9:

The organization holds a conservation easement, representing a legal interest in land owned by another person. The easement grants the organization the right to use, control, and/or protect the land for conservation purposes. Because of the unique nature of this asset, the impracticality of obtaining a reliable estimate of the value ascribed to this interest, and consistent with the practices followed by many environmental land trusts, the financial statements of the organization do not include an amount for this property interest.

Part V, Line 4:

The endowment funds are held for the purpose of conservation (approx 60%), education(approx 38%), volunteer appreciation (1%) and legal expense (1%).
