Governance Explanations

Form 990, Part VI, Section A, Line 2

Gerri craves and bob craves had a family relationship.

Form 990, Part VI, Section A, Line 3

Cfo brands, llc, specifically paul kruglik, a principal of that firm, provided interim cfo services to the college success foundation and its supporting organizations from june 2014 until the end of the year, receiving $83,321. Paul kruglik's compensation from cfo brands, llc is unavailable.

Form 990, Part VI, Section B, Line 11

The review process of the form 990 includes a detailed review by the controller and the interim cfo with the president. After review and approval by the president, the form 990 is reviewed with the audit committee, including the chairperson, who is an outside director. Subsequent to the review by the audit committee and prior to the filing of the return, all board members receive a copy of the 990 for review.

Form 990, Part VI, Section B, Line 12C

The policies, rules, and regulations adopted by the corporation relating to conflict of interest shall apply to any person appointed by the board of directors in any capacity and to the members of the board of directors themselves and key employees. Conflict of interest questionnaires are requested of all directors annually and for new directors at the time they join the board. The controller and interim cfo review the questionnaire results, and if a conflict arises, the board member recuses themselves from the discussion and vote.

Form 990, Part VI, Section B, Line 15

The chief executive officer's salary is determined by recommendation from the governance committee to the personnel and compensation committee and voted on by the board of directors. External market salary reviews are conducted for all positions, including the ceo's, every 3-4 years. A review of the ceo position was completed in january 2014. All other officer salaries are reviewed by the personnel and compensation committee and approved by the board of directors. If the board approves increases for all staff, the ceo and board chair review each individual in the administration process of increases. Compensation increases for the other officers were last approved in january 2014.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available to the public upon request.
