“The tax return is prepared by an outside accountant. After preparation, the finance committee performs a review of the return. The return is then filed with the irs. A copy is provided to the board of directors prior to filing with the internal revenue service.”
“The board has adopted a conflict of interest policy and the policy is reviewed on an annual basis. Each year, board members and officers must review the policy and determine if any conflict of interests exist. Annually, the disclosures were reviewed by the executive assistant. Should a conflict arise, it would be reviewed by the cfo, ceo and board treasurer. No board member or officer may vote on any matter under consideration in which such person has a conflict of interest. Further, any person with a material conflict of interest in any decision should be absent from the room during the board's review, including its vote, on the decision in question.”
“The ceo has entered into a renewed five-year contract with the board, effective july 1, 2021. This agreement outlines a base salary, an annual percentage increase, and a yearly bonus. The contract renewal process included an external compensation review and a written performance evaluation. The ceo begins the evaluation process by completing a self-assessment that reviews accomplishments, goal attainment, and sets goals for the coming year. The board chair then collects feedback from the ceo's direct reports and shares both the self-assessment and this feedback with the board, who may provide additional comments. The board chair compiles all input and delivers written feedback to the ceo, after which they meet to discuss and refine goals for the next year. The final assessment and goals are presented to the board for approval at the december annual meeting, when compensation adjustments and bonuses are also approved. Once finalized, the board president and ceo sign the paperwork, which is then sent to the cfo for processing. Both the ceo and the board review and determine compensation for other officers and key employees. The last compensation review was completed in december 2024.”
“The governing documents, conflict of interest policy, and financial statements are provided upon request.”
“Partner healthcare providers volunteer their time to fulfill all obligations related to prescribing, applying for treatment access requests on behalf of individual patients, support logistics and obtaining import permits from local healthcare authorities, oversee use and dispensation of donated products and other activities related to their obligations within the max access solutions. In 2024, there were 495 healthcare providers in our network. There are 8 volunteer board members and 44 members of our medical & strategic advisory boards. Additionally, we worked with 146 volunteers to organize education and awareness events. 11 volunteers assisted with fundraising events.”
“Activity reported on this form 990 includes all activities for malaysia and south african entities.”
