The downtown spokane partnership is dedicated to the creation of a dynamic and vital downtown as the basis of an economically healthy region.through business, government and community partnerships, the dsp encourages business and project development, ensures quality planning, implements physical improvement projects, conducts public safety, beautification and marketing programs and advocates public policies that ensures downtown's continued success.

Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee shall be comprised of the Chair, the Vice Chair, the Secretary, the Treasurer, the immediate past Chair, and such other directors as the Board may designate. The Executive Committee shall have and exercise the authority of the Board in the management of the Corporation between meetings of the Board unless and to the extent that the Board specifies otherwise.

The Organization offers one class of membership to all persons or entities who pay the annual membership fee. Each member shall be entitled to one vote.

Form 990, Part VI, Section A, line 7A

The governing body is appointed by the board and confirmed by the membership.

Form 990, Part VI, Section B, line 11B

The CEO, Chair and Treasurer will do an initial review of the return, and with their authorization, the Finance Committee is provided a copy of the 990 to review and approve before filing.

Form 990, Part VI, Section B, line 12C

An interested person must disclose the existence of any financial interest and be given the opportunity to disclose all material facts to the governing board. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

Executive Compensation is reviewed and approved by the DSP Executive Committee, whose review includes use of comparability data. The process for approving this compensation is dictated by the DSP Financial Control policy, and any supporting documentation and recordkeeping relating to any compensation approved by the DSP Executive Committee is maintained in the employee file with Human Resources. Compensation is reviewed annually every December.

Financial Statement Notes

Part IV, Line 1B:

The Organization acts as an agent between the City of Spokane and the Easy Park program. As a result, the assets accepted and transferred or used on behalf of the program are recorded as either an asset or liability in the accompanying statements of financial position. At December 31, 2022 and 2021 no asset or liability was outstanding as all of the assets accepted on behalf of the program were utilized in full. Total assets accepted and used during the years ended December 31, 2022 and 2021 were $184,349 and $126,186, respectively.

Part X, Line 2:

Management believes that the entity has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
