“The organization offers membership to all persons or entities who pay the annual membership fee. Each member shall be entitled to one vote on all matters submitted to a vote of the corportion's members.”

“The organization has 3 classes of directors, class a, b and c. Class b and c directors shall be elected at the organization's annual meeting by a vote of the majority of the members in attendance. There are 2 class a directors: one who shall be the chair of the ratepayer advisory board for the downtown spokane parking and business improvement district, and and one for university district.”

“Any director may be removed at any time, with or without cause, by the vote of two thirds of the votes cast by members having voting rights.”

“There are no committees with broad authority to act on behalf of the governing board.”

“An interested person must disclose the exisitence of any financial interest and be given the opportunity to disclose all material facts to the governing board. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.”
