Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and approved by the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

Board members are asked annually to review and disclose any possible conflicts of interest. There is also a strong culture among the staff to self-police for conflicts and to ask questions if something could appear questionable. If an issue does come up for staff, the executive director reviews the situation to see if any accommodations need to be made. If it is a significant issue, it will also go to the executive committee of the board for review. The executive committee also reviews all conflicts of interest issues brought up by the individual board members.

Form 990, Part VI, Section B, Line 15

The board of directors reviews and determines the compensation of the executive director. Comparibility data from the king county nonprofit sector are used to help set compensation. Deliberation and decision processes are documented through email correspondence between board of directors, executive director and agency accountant.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available upon request.
