There shall be one voting member of the Corporation which shall be Imagine Housing, a Washington nonprofit corporation (formerly known as St. Andrew's Housing Group) (the "Member").

The Member shall have the following powers: a. Approve of any proposed appointment to or removal. of a director from the board of directors prior to any proposed appointment or removal being subject to a final vote by the Corporation's board of directors; and b. Approve of any amendments to these Bylaws prior to any such amendment being presented to the Corporation's board of directors for a vote.

Imagine Housing and Red Vines 1 are exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. They have been classified as organizations that are not private foundations within the meaning of Section 509(a) because they are organizations of the type described in Section 509(a)(2). Ruby LLC, Roots I LLC, South KTOD Development LLC, Imagine Gardens LLC, and RV Manager LLC are single member limited liability companies. Imagine Housing is the sole member of Ruby LLC, Roots I LLC, South KTOD Development LLC and Imagine Gardens LLC. Red Vines 1 is the sole member of RV Manager LLC. Ruby LLC, Roots I LLC, South KTOD Development LLC, Imagine Gardens LLC, and RV Manager LLC are disregarded entities for tax purposes. The Organization's income tax filings are subject to examination by various taxing authorities. The Organization's open examination periods are 2010 and thereafter. The Organization has evaluated its tax positions and concluded that it has taken no uncertain tax positions that would require adjustment to the financial statements. In addition, the Organization is not aware of any matters that would cause the loss of its tax-exempt status.

They have been classified as organizations that are not private foundations within the meaning of Section 509(a) because they are organizations of the type described in Section 509(a)(2). Ruby LLC, Roots I LLC, South KTOD Development LLC, Imagine Gardens LLC, and RV Manager LLC are single member limited liability companies. Imagine Housing is the sole member of Ruby LLC, Roots I LLC, South KTOD Development LLC and Imagine Gardens LLC. Red Vines 1 is the sole member of RV Manager LLC. Ruby LLC, Roots I LLC, South KTOD Development LLC, Imagine Gardens LLC, and RV Manager LLC are disregarded entities for tax purposes. The Organization's income tax filings are subject to examination by various taxing authorities. The Organization's open examination periods are 2010 and thereafter. The Organization has evaluated its tax positions and concluded that it has taken no uncertain tax positions that would require adjustment to the financial statements. In addition, the Organization is not aware of any matters that would cause the loss of its tax-exempt status.
