CHANGES TO GOVERNING DOCUMENTS. Increased the number of possible board members by 4. The Designated Directors may appoint up to 4 Elected Directors to the Board of Directors. The Elected Directors must be committed to the IAF organizing model and chosen for their ability to advance the mission of the IAF Northwest.

MEMBERSHIP. Affiliates must have a current contract with IAF, and must have appointed Directors to the Board.

MEMBERSHIP ELECTION OF BOARD MEMBERS. Each US based IAF NW affiliate shall appoint 2 Designated Directors, and may appoint 2 Alternates to the Board of Directors. The affiliate must have a current contract with the IAF, have held their Founding Assembly are governed by their member organizations rather than a sponsoring committee and have appointed directors to the IAF Northwest Board to be considered a Designating Organization. IAF NW currently has 3 affiliates appointing Directors to the Board.

990 REVIEW PROCESS. The Executive Director and the Board Treasurer review the first draft of the 990. Revisions are made by the preparer. The 990 is emailed to all Board Members. They meet by phone or in person to discuss the return and approve it for filing. If any changes are made during the board discussion, the final 990 is emailed to all Board Members before filing.

CONFLICT OF INTEREST POLICY MONITORING. The conflict of interest policy covers board members, officers and committee members with board designated powers. Determinations of whether a conflict exists and the review of actual conflicts are made at the board or committee level. Once the Board or Committee determines that a conflict of interest exists, it shall take the following steps investigate alternatives to the proposed arrangement, determine the possibility of a non-conflict option and if a more advantageous arrangement is not reasonably attainable under circumstances that would not give rise to a conflict, the Board or Committee shall determine by 2/3 vote of the disinterested directors whether or not to enter into the arrangement. The interested person shall not participate in the vote, be counted in ascertaining quorum or participate in any future IAF NW decisions pertaining to the matter.

EXECUTIVE COMPENSATION. The Board met with the National Director of the IAF to conduct a 360 assessment of the organization including the compensation packages of all staff to make sure they were in alignment with the other 60 similar organizations across the US. Salaries are reviewed annually by the Board as part of the budgeting process.

Much of its work is carried out in close partnership with its 12 affiliated organizations in Washington, Oregon, Montana, British Columbia, Alberta, New Zealand and Australia.

NEW PROGRAM INITIATIVES. IAF NWs new program, Wrestling with the Truth of Colonization, is anchored by a 5 session, 10 hour process that was developed by a talented team of US Native Americans, Indigenous/First Nations Canadians, Aboriginal Australians and Maori New Zealanders. It has been designed to take thousands of people from faith, labor, healthcare and community organizations through a process that sets the stage for right relationships and meaningful action with Indigenous people in their own communities. The overall aims of the Wrestling sessions are to 1 Share the history of Indigenous people and colonization while using participants own experiences as a way to relate and build empathy 2 Help participants wrestle with the role settler people and institutions play in maintaining systems that disadvantage Indigenous people and advantage themselves 3 Show participants ways that they can confront individual biases and prejudices-- both within themselves and in others-- and collectively become agents for systemic change in partnership with Indigenous people and 4 Secure commitments from participants-- and their member organizations-- to engage in respectful, long-term partnerships with Indigenous leaders, elders and organizations to remedy injustices of the past and present and to forge a new future.

The Wrestling with the Truth of Colonization initiative is anchored by a 5 session, 10-hour process that was developed by a talented team of US Native Americans, Indigenous/First Nations Canadians, Aboriginal Australians Maori New Zealanders. After a successful international test run with 80 people in Dec 2020, IAF NW focused on supporting its affiliates in Calgary, Missoula Seattle in building strong partnerships with local Tribal urban Indigenous leaders. With those relationships in place, teams set to work localizing the Wrestling curriculum while maintaining its international framework. The first localized session was conducted in June 2021 in Calgary with 90 particiapants. The conflict of interest policy covers board members, officers and committee members with board designated powers. Determinations of whether a conflict exists and the review of actual conflicts are made at the board or committee level. Once the Board or Committee determines that a conflict of interest exists, it shall take the following steps investigate alternatives to the proposed arrangement, determine the possibility of a non-conflict option and if a more advantageous arrangement is not reasonably attainable under circumstances that would not give rise to a conflict, the Board or Committee shall determine by 2/3 vote of the disinterested directors whether or not to enter into the arrangement.
