Governance Explanations

Form 990, Part VI, Section A, Line 2

Robert fries and debra dahlen are married to each other.

Form 990, Part VI, Section B, Line 11

The president of the board, the treasurer and the executive director review and sign the form 990 before it is filed on the board's behalf and ensure that it is accurate, complete and timely filed; the board of directors receives a copy of the 990 each year.

Form 990, Part VI, Section B, Line 12C

Board members annually sign an acknowledgement that they have read, understood, and will abide by the conflict of interest policy. The conflict of interest policy is provided as part of each director's board notebook, and discussed as appropriate.

Form 990, Part VI, Section B, Line 15

Board appoints exec compensation task force, which reviews nonprofit executive compensation trends, cpi data, and comparable salary information from local peer organizations, along with performance and value information relevant to nwcf. Task force's research and recommendation is fully documented and presented for review and discussion, and approved by full board. The executive director is responsible for determining compensation for all other staff; the board reviews and approves the total payroll line item in the budget each year.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy and financial statements are available upon request. Summarized financial statements are available each year through our annual report publication.
