The executive committee is the president, president elect, treasurer, and secretary. The executive committee has the authority to decide if a vote on a matter before the board (governing body) can be taken electronically.

Rachel reynolds, erin fraser, and jade park both serve on the board and are members of the same law firm, wilson elser.

Form 990, Part VI, Section A, Line 6

Membership shall be by application subject to approval of the board of trustees ("board") and shall be limited to lawyers practicing within the state of washington who are licensed and must (1) be members in good standing of the washington state bar association; (2) be actively engaged in the private practice of civil law, or employed by governmental bodies; and (3) individually devote a substantial portion of their time in litigated matters to the defense of damage suits on behalf of individuals, insurance companies or corporations, private or governmental, or the representation of management in labor dispute. Individuals meeting the criteria for membership shall make application for membership upon a form provided by the executive director and submitted to the executive director. Payment shall be made for annual dues, in an amount fixed by the board of trustees, with the application. Membership shall be limited to attorneys who manifest a genuine interest in and support of the purposes of the organization. No applicant shall become a member until the applicable membership fee has been paid. The board shall be the sole judge of the qualifications of prospective members, as well as the continuing qualifications of its individual members.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy states that trustees shall avoid, in fact and in perception, conflicts of interest and disclose to the president, in a timely manner, any possible conflicts. No trustee shall participate in any discussion or vote on any matter in which he or she or a member of his or her immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. When such a situation presents itself, the director must announce his or her potential conflict, disqualify himself or herself, and be excused from the meeting until discussion is over on the matter involved. The president is expected to make inquiry if such conflict appears to exist and the board member has not made it known.

The board determines the executive director's compensation by considering comparable market data, industry standards, and available funds. The board meets in the absence of the executive director, in executive session. There are no minutes of the conversation kept, however, the result is published in the meeting minutes and a confirming email is sent to our bookkeeper.
