Governance Explanations

The executive committee comprises the president, past-president, vice president, treasurer, secretary and trustee of the board of directors. They meet monthly and ad hoc as necessary. This committee has the authority and responsibility to act when such action is time critical such that the timing of regular board meetings would not allow for timely attention to critical issues.

After the audit is reviewed and approved by the board, those financial statements are used as the basis for the 990 preparation. The 990 is reviewed by the director of finance and signed and approved by the executive director.

Management monitors compliance by vetting potential vendors and other partners prior to engaging services. In the event we see a potential conflict, we escalate the discussion to ensure there is no improper dealing and that all transactions are in fact arms-length.

The executive director's compensation is derived from industry survey data to establish a range with placement on the range based on years of experience. The board reviews and adjusts the executive director's salary annually based on refreshed survey data. The same survey data is used for all positions, including officers and key employees.
