Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee comprises the president, past-president, treasurer, secretary and trustee of the board of directors. They meet monthly and ad hoc as necessary. This committee has the authority and responsibility to act when such action is time critical such that the timing of regular board meetings would not allow for timely attention to critical issues.

Form 990, Part VI, Section B, Line 11B

990 is presented to the finance committee for detail review and approval. Once reviewed there, the 990 is forwarded to the full board of directors, which votes to accept and submit the document.

Form 990, Part VI, Section B, Line 12C

Management monitors compliance by vetting potential vendors and other partners prior to engaging for services. In the event we see a potential conflict, we escalate the discussion to ensure there is no improper dealing, and that all transactions are in fact arms-length.

Form 990, Part VI, Section B, Line 15

Ed compensation derived from industry survey data to establish a range, with placement on the range based on years of experience. Board reviews and adjusts ed salary annually based on refreshed survey data. The same survey data is used for all positions, including officers and key employees.
