Governance Explanations

Form 990, Part VI, Section B, Line 11B

Fiscal year end financial statements are independently audited each year. This audit is presented to the board's finance and audit committees and the full board of trustees. The finance director and controller compile supporting paperwork needed for completion of the tax return - in addition to what is available in the independent audit report. Independent tax specialists prepare the tax return. The finance director reviews the tax return prior to it being submitted to the irs. The board's finance and executive committees are given a copy of the tax return once it is complete and a copy is put on the theatre's website for review by the board of trustees and any interested member of the public.

Form 990, Part VI, Section B, Line 12C

Board members and officers sign a conflict of interest policy as they join the board. Board members have three year terms. They re-sign the statement each time they are re-elected to the board for another term. Annually, board members are asked to complete and sign a related party transaction survey that lists out the 5 key questions included on the tax return. They are supplied a copy of the board roster that lists all board members and their business affiliations to ensure that board members are aware of who works for whom, so they can accurately answer the questions. The director of finance & operations reviews the related party disclosures. If there is any conflict of interest, the board member with the conflict recuses himself or herself from any discussion or voting related to that topic.

Form 990, Part VI, Section B, Line 15

The national organization tcg (theatre communication group) conducts an annual survey of wages for key theatre personnel. This survey, along with information about local wages for comparable positions, is used during the year as open positions are filled and as officer employment contracts are being evaluated and updated. When officer positions are vacant, additional national comparisons are obtained for like positions adjusted for the relative standard of living costs from the surveyed areas. Human resources also monitors national comparisons annually. The board leadership team reviews compensation for the managing and artistic directors while the managing director reviews the compensation for the director of finance and operations. The last compensation review process conducted by the board occurred in fiscal year 2015.

During the year, volunteers provided board governance, held fundraising events, operated a gift shop, ushered patrons, provided general office support, and supported internship programs in various departments.

Financial Statement Notes

PART V, LINE 4:

The endowment funds are held by seattle repertory theatre foundation, a supporting organization to seattle repertory theatre. The foundation has a 4% distribution policy, based on a three-year rolling average of market value of endowment investments at december 31 each year. This distribution is approved by the foundation's board of directors for use in the next fiscal year of the seattle repertory theatre's operations. From time to time, the foundation may make additional distributions to the theatre.
