Governance Explanations

Form 990, Part VI, Section A, Line 1A

There are four committees made up of members of the board using an orion staff member as a liaison. The audit, finance, and compensation committee oversees the financial audit, investments, financing, and compensation. The social mission committee oversees the various programs that orion delivers to the community, ensuring that the programs are effective and equitable. The m&a committee investigates growth opportunities for the business and the mission. The board governance oversees the board composition.

A draft copy of the form 990 is provided to board of directors prior to signature by an officer and filing of the return.

Form 990, Part VI, Section B, Line 12C

The board members are required to disclose any interest that might give rise to a conflict of interest. The disclosures are reviewed annually and any items disclosed as a potential conflict are brought to the attention of the full board for discussion and definition of appropriate action to mitigate or eliminate the potential conflict.

Form 990, Part VI, Section B, Line 15

The compensation committee annually reviews the performance of the ceo in january of the following year. The review is based on the company's performance to annual strategic objectives and long-term strategic goals. Annual strategic objectives support the long-term strategic goals. Long term strategic goals are are reviewed annually and updated every 3-5 years based on the market conditions. Assuming the ceo's performance meets expectations, they award a percent increase in relation to the company's overall merit pool. This process is exactly the same for cfo and other key employees. However, the ceo reviews his direct reports and awards an increase following the same process. The cfo and other direct reports follow the same process for their employees. The ceo reviews and approves all annual merit increases recommending by his direct reports.

AUBURN: 4 INDIVIDUALS PARTICIPATED IN OUR CUSTODIAL TRAINING PROGRAM, 29 IN CLERICAL CUSTOMER SERVICE & ADMIN TRAINING PROGRAM, 93 PARTICIPATED IN JOB DEVELOPMENT / JOB RETENTION SERVICES, AND 53 WERE SUPPORTED INTO JOBS. DURING 2024, THE BOEING STRIKE IMPACTED ORION'S CAPACITY TO FILL TRAINING POSITIONS DUE TO WORK STATEMENT. OUR ENROLLMENT DROPPED 40% IN THE MONTHS PRIOR TO THE STRIKE AND REMAINED 40% BELOW GOAL THROUGH THE END OF THE YEAR. MUKILTEO: WE SUPPORTED 75 INDIVIDUALS IN SNOHOMISH AND KING COUNTY PROVIDING INDIVIDUAL EMPLOYMENT SERVICES, COMMUNITY INCLUSION AND SCHOOL TO WORK SUPPORT, 54 PARTICIPATED IN INDIVIDUAL EMPLOYMENT, 68% OF PARTICIPANTS WERE EMPLOYED AT THE END OF THE YEAR (37), 32 PARTICIPATED IN COMMUNITY INCLUSION SERVICES, AND 12 PARTICIPATED IN JOB FOUNDATIONS / SCHOOL TO WORK. WE SUPPORTED 11 INDIVIDUALS TO LOCATE NEW EMPLOYMENT THROUGH THIS PROGRAM. WE PROVIDED CASE MANAGEMENT AND JOB PLACEMENT SUPPORT TO 81 INDIVIDUALS IN THE COMMUNITY WHO ARE LOW INCOME / AT RISK OF HOMELESSNESS THROUGH SNOHOMISH COUNTY. WE SUPPORTED 31 INDIVIDUALS INTO JOBS FROM THIS PROGRAM.
