Individuals and businesses who receive electric service from the cooperative.

Form 990, Part VI, Section A, Line 7A

Each year, the Board of Trustees appoints a nominating committee. The nominating committee meets and nominates a slate of candidates to run for election to the Board. Nominations by petition are also accepted for candidates to run for election to the Board. The candidates are placed on a ballot and members of the organization vote at an annual meeting to elect members of the Board. Voting is allowed in person at the meeting or by mail-in ballot.

Form 990, Part VI, Section A, Line 7B

Changes to the Cooperative's by-laws require approval by its members. Each member is entitled to one vote for making changes to the Cooperative's by-laws.

Form 990, Part VI, Section B, Line 11B

After the Form 990 has been prepared by the independent accountants, the General Manager/CEO reviews the form with accounting staff for accuracy and completeness. Once the General Manager/CEO believes the form is complete and accurate, he submits the form to the Board for their review and approval. Upon receiving their approval, the General Manager/CEO signs the Form 990 and files it.

Form 990, Part VI, Section B, Line 12C

There are two conflict of interest policies - one for employees and one for the Board of Trustees. The General Manager/CEO ensures the enforcement of the employee conflict of interest policy, and the Board President ensures the enforcement of the Board of Trustees conflict of interest policy. The General Manager/CEO or President reviews any potential conflicts of interest, at least annually, and discusses them with the Board in order to determine the appropriate course of action, if necessary, in accordance with the policy.

Form 990, Part VI, Section B, Line 15A

The Board of Trustees reviews the General Manager/CEO's current compensation and, to the extent possible, compares it to the compensation of General Managers of other comparably-sized electric cooperatives within the region. Additionally, the Board reviews the General Manager/CEO's compensation relative to the compensation of other executive-level positions within the geographical area as a measure of reasonableness. After consideration of these factors, along with the performance of the individual under review, the Board approves the General Manager/CEO's compensation package.
