Pathways togo, inc. Conflict of interest policy article i: purpose section 1. The purpose of the conflict of interest policy is (1) to protect the interests of pathways togo, inc. (hereinafter, the corporation) when it is contemplating entering into a transaction or arrangement that might benefit the private financial interests of a director or committee member; and (2) to ensure fairness in the distribution of scholarship awards. Section 2. This policy is intended to supplement, but not to replace, any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Article ii: definitions financial interest. A director or committee member has a financial interest if he or she has directly or indirectly, through business, investment, or family, an actual or possible ownership or investment interest or an actual or potential compensation agreement with any entity with which the corporation is contemplating or negotiating a transaction or arrangement. Compensation. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. Interested person. An interested person is a director or committee member who has a financial interest, as defined above. Article iii: procedures for determining whether a conflict of interest exists section 1. Where a director or committee member has a financial interest, he or she must disclose the financial interest to the directors or committee members considering the proposed transaction or arrangement and be given the opportunity to disclose all material facts. He or she shall then leave the board or committee meeting while the determination of a financial conflict of interest is discussed. After discussion, the remaining board or committee members shall vote to determine if a financial conflict of interest exists. Section 2. A member of the scholarship selection committee has a conflict of interest with regard to scholarship awards if he or she is related by blood, marriage, or adoption to a scholarship applicant or he or she will receive a direct or indirect financial benefit from recommending a scholarship to a particular applicant. Article iv: procedures for addressing a financial conflict of interest section 1. Where, pursuant to the procedures described in article iii, section 1, the board or relevant committee has determined a financial conflict of interest exists, the interested person may make a presentation to the board or committee. After the presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. Section 2. The president or, where relevant, chair of the committee, shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. Section 3. After exercising due diligence, the board or committee shall determine whether the corporation can, with reasonable efforts, obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. Section 4. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors or committee members whether the transaction or arrangement is in the corporations best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. THE PURPOSE OF THE CONFLICT OF INTEREST POLICY IS (1) TO PROTECT THE INTERESTS OF PATHWAYS TOGO, INC. (HEREINAFTER, THE CORPORATION) WHEN IT IS CONTEMPLATING ENTERING INTO A TRANSACTION OR ARRANGEMENT THAT MIGHT BENEFIT THE PRIVATE FINANCIAL INTERESTS OF A DIRECTOR OR COMMITTEE MEMBER; AND (2) TO ENSURE FAIRNESS IN THE DISTRIBUTION OF SCHOLARSHIP AWARDS. SECTION 2. THIS POLICY IS INTENDED TO SUPPLEMENT, BUT NOT TO REPLACE, ANY APPLICABLE STATE AND FEDERAL LAWS GOVERNING CONFLICT OF INTEREST APPLICABLE TO NONPROFIT AND CHARITABLE ORGANIZATIONS. ARTICLE II: DEFINITIONS FINANCIAL INTEREST. A MEMBER OF THE SCHOLARSHIP SELECTION COMMITTEE HAS A CONFLICT OF INTEREST WITH REGARD TO SCHOLARSHIP AWARDS IF HE OR SHE IS RELATED BY BLOOD, MARRIAGE, OR ADOPTION TO A SCHOLARSHIP APPLICANT OR HE OR SHE WILL RECEIVE A DIRECT OR INDIRECT FINANCIAL BENEFIT FROM RECOMMENDING A SCHOLARSHIP TO A PARTICULAR APPLICANT. ARTICLE IV: PROCEDURES FOR ADDRESSING A FINANCIAL CONFLICT OF INTEREST SECTION 1. WHERE, PURSUANT TO THE PROCEDURES DESCRIBED IN ARTICLE III, SECTION 1, THE BOARD OR RELEVANT COMMITTEE HAS DETERMINED A FINANCIAL CONFLICT OF INTEREST EXISTS, THE INTERESTED PERSON MAY MAKE A PRESENTATION TO THE BOARD OR COMMITTEE.
