Governance Explanations

Form 990, Part VI, Section A, Line 2

Thomas Spartz, the Secretary, is the father of Andrew and Emerson Spartz.

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by Edgardo Castro, CPA using the financial statements provided by Andrew Spartz, who serves as the organization's Director, Treasurer, and President. Upon completion, the return is reviewed by Andrew Spartz. Mr. Spartz conducts a thorough review of the return before it is finalized and submitted to the IRS. No additional review or approval process is conducted by other members of the governing body.

Form 990, Part VI, Section B, Line 12C

The Corporation monitors and enforces compliance with its conflict of interest policy by requiring all directors, officers, and key committee members to disclose actual or potential financial interests and related material facts. These disclosures are reviewed by the board or a designated committee, which determines whether a conflict exists. Individuals with a potential conflict must leave the meeting during discussion and voting on the matter. Meeting minutes document the conflict disclosures, determinations, and voting. The organization conducts periodic reviews to ensure compliance with its policies and requires annual signed statements affirming understanding and adherence to the policy.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Interested parties may contact the organization to request copies of these documents.

IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt0Nonlinear Inc. employs a structured monitoring and oversight process to ensure that grant funds disbursed to foreign organizations are used exclusively for charitable purposes and in compliance with Section 501(c)(3) requirements. Grant agreements require grantees to submit annual written reports summarizing activities, accomplishments, challenges, and lessons learned, as well as annual budget and expenditure reports. These reports must be provided promptly upon request. Grantees are required to maintain complete and accurate financial records of receipts and disbursements for a minimum of four years after funds are expended. These records must be made available to Nonlinear Inc. for inspection at reasonable times. Nonlinear may also request additional oversight, including site visits to observe grant-funded activities and supplementary calls or written materials for clarification. Grantees are contractually obligated to comply with such requests. To verify compliance, Nonlinear requires grantees to notify the organization of any material changes in operations, staffing, funding sources, or tax status. It also monitors adherence to U.S. laws concerning anti-terrorism and international sanctions. Nonlinear reserves the right to terminate grants due to unsatisfactory progress or noncompliance and may discontinue funding, request the return of unexpended funds, and require submission of all grant-related records within 30 days.
