“FORM 990, PART III The Uniswap Foundation (the "Foundation") supports a community of individuals and organizations dedicated to a more open, fair and decentralized financial system through education around and broader adoption of blockchain technologies and smart contract-based decentralized protocols. While still in its formation stage, the Foundation is already working (i) to increase both public understanding of decentralized finance and community engagement to develop, maintain and facilitate interaction with decentralized protocols, and (ii) to encourage the positive social impact that accompanies increased public understanding and more widespread use of blockchain technologies and decentralized finance. It joins other organizations focused on educating the public about blockchain technologies and decentralized finance; however, the Foundation's specific focus is to support the decentralized growth and sustainability of the ecosystem that underlies decentralized protocols by making grants to various organizations and individuals that are dedicated to increasing public engagement with those protocols and achieving broader community benefit through such engagement. During 2022, the Foundation has conducted activities attendant to its organization, including incorporating, adopting Bylaws, electing officers, and preparing its exemption application. The Foundation has also begun the process of identifying and approving grant recipients to further its established purpose. These grant-making activities fall into three general categories: (1) development of tools to expand the growth of decentralized protocols by improving the developer and end user experience, as well as easy access to on-chain data, (2) engagement with underserved communities to expand knowledge of and familiarity with decentralized protocols, including funding for established programs in Africa and Latin America, and (3) improvement of governance mechanisms for decentralized finance protocols. While the Foundation's initial grant-making efforts have focused on the Uniswap protocol, they will benefit a broader community of decentralized finance stakeholders and are expected to expand. Beyond its grantmaking initiatives, the Foundation conducts research and prepares publications, reports, articles, comments, and editorials discussing how decentralized finance and blockchains technologies work. The Foundation's officers plan to write a "State of the Ecosystem" report that highlights developments in the decentralized finance space with the goal of facilitating further development of, and technological advances in, decentralized finance systems and blockchain technologies, all in pursuit of more widespread use and increased understanding of and engagement with such systems and technologies. FORM 990, PART VI, SECTION B, LINE 11 Form 990 was reviewed by all Directors of the Uniswap Foundation, as well as retained counsel and external accountants. Form 990, Part VI, Section B, Line 11 The Organization has a written conflict of interest policy. Each director, principal officer and member with board delegated powers is required to sign an annual statement that they received a copy of the policy, ready and understand the policy and complied with the policy. Conflicts are disclosed and the person with the conflict is recused from voting on the matter. FORM 990, PART VI, SECTION B, LINE 15 The process for determining compensation for the Executive Director and other top management employees were completed with the advice of legal counsel, external recruiters at major nonprofit technology companies and professional executive headhunters, research from similar technology foundations' 990 filings, as well as compensation software providers such as Pave and Options Impact.
