Form 990, Part VI, Section B, Line 11B

Form 990 review process: the form 990 is prepared by a recognized nonprofit accounting firm in conjunction with that others may live foundation management. All information reported on the 990 was provided by management and reviewed by the accounting firm. The form 990 is presented to the executive committee and audit and finance oversight committee who reviews, approves and recommends to the full board that it be approved for filing. Following full board approval, the form 990 is electronically filed with the internal revenue service. Copies are provided to all board members after the 990 is signed and filed.

Form 990, Part VI, Section B, Line 12C

The board annually reviews relationships to determine that no conflict of interest exists. Among other things, the board has policies in place that require its directors, officers and employees to disclose any actual or potential conflicts of interest to the full board for resolution. On an annual basis, each director, officer and employee completes a conflict of interest disclosure from and acknowledges the policy. Completed annual forms are reviewed in accordance with the procedures set forth in the policy.

Form 990, Part VI, Section B, Line 15

In accordance with the foundation's bylaws, the executive committee "ec" exercises the authority of the board in the management of the corporation and serves as the compensation committee. The ec reviews national charity rating organization's compensation reports and internet based nonprofit and salary websites to obtain salary information for both taxable and tax-exempt organizations for functionally comparable positions of similar services in the geographic area. Full disclosure is provided to the board.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and its financial statements available on its website. Financial statements are also available upon request.

Financial Statement Notes

PART X, LINE 2:

In accordance with "income taxes" fasb accounting standards codification topic 740 (topic 740), all entities are required to evaluate and disclose income tax risks. Topic 740 clarifies the accounting for uncertainty in tax positions and prescribes guidance related to the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. The tax benefit from an uncertain tax position is only recognized in the statement of financial position if the tax position is more likely than not to be sustained upon an examination, based on the technical merits of the position. Interest and penalties, if any, are included in expenses in the statement of activities. As of december 31, 2020, the organization had no uncertain tax positions that qualify for recognition or disclosure in the financial statements. The organization's income tax returns are subject to review and examination by federal authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status. The organization is not aware of any activities that are subject to tax on unrelated business income, excise or other taxes. The tax returns for the fiscal years ended from 2017 to 2019 are open to examination by federal authorities.
