“To uphold transparency and avoid potential conflicts of interest:? No more than three immediate family members (defined as spouses, domestic partners,parents, children, or siblings) may serve on the board at the same time.? Any potential conflicts related to family relationships must be disclosed to thegovernance committee before elections or appointments.”

“Article vi committeessection 1. Executive committee. The executive committee shall consist of the chair, 1st vicechair, 2nd vice chair, treasurer, secretary, and immediate past president.(a) at all executive committee meetings, four officers shall constitute a quorum for thetransaction of business.(b) the board chair may vote to break a tie vote.(c) the executive committee acts on behalf of the board of directors in all personnelmatters or issues relating to the president, including but not limited to contractnegotiations, performance reviews, and termination. Such actions must consist of aunanimous vote where quorum is present.(d) the chair will establish an ad-hoc search committee to lead the hiring process whenthe president position becomes vacant. This ad-hoc committee may consist of anyinterested scientiae board members of which must at least include two officers of thecorporation who can participate throughout the entire process. This ad-hoc committeewill provide a recommendation of hire to the board of directors for approval.(e) except for the power to amend the articles of incorporation and bylaws, the executivecommittee shall have all the powers and authority of the board of directors in theintervals between meetings of the board of directors. Any decisions made by theexecutive committee must be placed on the agenda under new business at the nextboard meeting and ratified.”
