The policy & innovation center's (pic) mission is to unlock the region's potential by cultivating and building partnerships. Our niche is to address intractable issues that can only be solved with cross-sector, multi-jurisdictional collaborations. Pic develops, tests, and implements world-class research and policy-driven solutions to support climate resilience, critical infrastructure, affordable housing, quality jobs, and building community wealth for disinvested communities.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's articles of incorporation were amended april 17, 2024 to change its name from "san diego regional policy and innovation center" to "policy & innovation center".

Form 990, Part VI, Section A, Line 6

The san diego foundation is the sole member of the organization. The sole member must approve the election of the board members. In addition it has other rights under california nonprofit law and as customary for the sole member of a nonprofit, such as to approve amendments to the articles of incorporation and bylaws and fundamental changes such as a merger or dissolution.

The san diego foundation, sole member, must approve the election and removal of the board of directors.

Form 990, Part VI, Section A, Line 7B

The san diego foundation must approve amendments to the governing documents, merger, consolidation and joint venture, sale, lease, exchange, mortgage, pledge or other disposition of all or substantially all of the assets of the corporation and dissolution.

The form 990 is reviewed by management and the audit and risk committees of the board for accuracy and completeness. A complete copy of the final version of the form 990 was provided to the board of directors for their review before the return was filed with the internal revenue service.

The conflict of interest policy is distributed to each board member annually, and they are required to complete and sign a conflicts disclosure form annually. Board members are also required to disclose any conflicts as they arise during the year. Any disclosed conflicts are managed in accordance with the conflict of interest policy, which includes requiring recusal of the conflicted director from the deliberation and vote by the board or board committee and appropriate documentation of the process, to ensure that any conflicts are managed by independent directors in the organization's best interest. The conflict of interest policy is consistent with the irs' template conflict of interest policy and applicable state law.

Executive officer compensation for the ceo of the policy & innovation center was determined based on the advice of an independent expert compensation consultant and in accordance with the process to qualify under federal tax law for a rebuttable presumption that the compensation is reasonable. The compensation reflects the amount paid by the san diego foundation to its chief innovation officer and an in-kind donation to support the ceo position at the policy & innovation center. Other compensation includes the compensation paid by the san diego foundation for its ceo and cfo, who also serve as non-paid directors on the policy & innovation center's board.

All wages, benefits, pension contributions, and payroll taxes are paid by the san diego foundation. These expenses are reimbursed by the policy and innovation center, under a shared service agreement or provided by the san diego foundation in-kind. The amount listed on form 990, part vii, section a, represents compensation paid by the san diego foundation to its chief innovation officer and an in-kind donation to support the ceo position at the policy & innovation center.
