Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization has no committees

Form 990, Part VI, Section B, Line 11B

A copy of the 990 is sent to all board members electronically for their review. They are given a deadline to get back to the executive director with any questions or concerns they might have. If there are not any changes to be made, the 990 is filed.

Form 990, Part VI, Section B, Line 12C

The ncer by-laws require potential board members to fully and completely disclose any potential conflicts of interest. The ncer board of directors has adopted a policy that includes annual disclosure of conflicts of interest and plans to increase monitoring of compliance with this policy.

Form 990, Part VI, Section B, Line 15A

The ncer board of directors require the executive director to annually establish goals and perform a self-review at the final board meeting of the calendar year. The board performs a review of the executive director's performance and provides feedback and direction for the upcoming year and then determines compensation for the forthcoming calendar year without the executive director present. The results of the board's performance review and compensation determination are presented to the executive director.

Form 990, Part VI, Section C, Line 19

All governing documents, conflict of interest policy, and financial statements are available to the public upon request.
