The organization's treasurer reviews the form 990, presents it to the finance committee, and then discusses it with the entire board of directors before the 990 is filed.

Form 990, Page 6, Part VI, Line 12C

The board reviews each member's annual conflict of interest questionnaire and any other disclosures regarding the financial interest of its members. After disclosure of the financial interest, the interested person shall leave the board meeting while the remaining board members discuss and vote on whether a conflict of interest exists. After excercising due diligence, the governing board shall determine whether the organization can obtain with reasonable effort a more advantageous transaction or arrangement from a person or entity that would not produce a conflict of interest. The interested person shall not be present in the room during the determination. If an alternative transaction or arrangement is not possible, the governing board shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the best interests of the organization, for its own benefit, and fair and reasonable. Based on these determinations, the board shall make its decision on whether to enter into the transaction or arrangement. If the commitee has reason to believe an individual has failed to disclose actual or potential conflicts of interest, it will inform the member and allow him or her to explain the alleged failure to disclose. If the committee still has reason to believe a conflict of interest exists after the alleged conflict is explained, it will take corrective action.

Compensation for the executive director is determined by independent persons(the board of directors, excluding the executive director). Factors considered in determining compensation include cost of living data, market comparison information, duration of employment, and job performance. During fy25, repertory dance theatre's 59th season, "a season of reflection," successfully served 79,722 individuals through 1,653 activities totaling 2,907.6 service hours across utah and beyond. The organization met all creative, administrative, and income goals while maintaining fiscal responsibility by fulfilling all contracted weeks for dancers and staff without termination or furloughs. Arts in education program - rdt's largest program served 63,098 students and teachers through 837 activities totaling 1,579 service hours. This included 53,495 students and 9,603 teachers participating in both in-person and virtual engagements. The program featured matinee performances of major works including season concerts "i am..." (772 attendees), "noa" (265 attendees), and "deux" (272 attendees), alongside virtual programming reaching 5,011 participants across multiple productions. Rdt's home season- the organization's core home season served 4,850 individuals through 36 activities totaling 84 service hours. The five- concert home season included collaborations with israeli choreographer noa zuk in "noa" (439 attendees), natosha washington's powerful "i am..." exploring identity and human connection (623 attendees), "emerge 2025" celebrating salt lake's dance community with over 115 guest performers (501 attendees), the annual gala "regalia 2025" (202 attendees), and "deux" featuring masterworks by jos limn and zvi gotheiner (447 attendees). Ring around the rose programming showed 8.5% attendance growth. Dance center program - rdt's community education hub served 3,326 individuals through 400 activities totaling 503.6 service hours, demonstrating an impressive 26% growth in participation. The center provides dance classes and training opportunities for all skill levels and ages, generating essential program revenue while advancing community access to professional-quality dance instruction. Additional programs included creative aging services reaching 1,859 individuals across six wasatch front locations through 211 activities totaling 333 service hours, highlighted by the third annual prime performance workshop engaging 27 performers. Rdt's year-long touring programs served 2,847 individuals through 93 activities, with the major accomplishment being rdt's successful east coast tour featuring a two-week residency at phillips academy in massachusetts and six performances at the whitney museum of american art in new york city, significantly elevating the organization's national profile. Significant program changes - rdt implemented a carefully orchestrated leadership transition effective july 1, 2025, culminating 12 years of succession planning. Linda c. Smith transitioned from artistic & executive director to rdt director emerita, while nicholas cendese and lynne larson became executive/artistic co-directors. The organization also completed a comprehensive fundraising analysis with the pathway group, resulting in a strategic three-year plan supporting sustainable growth through the 60th anniversary and beyond. Strategic partnerships - the encore presentation of "i am..." at the university of utah strengthened academic partnerships, while board expansion to 15 members enhanced governance capacity.
