Conflict of interest policy section 1: purpose- the purpose of the conflict-of-interest policy is to protect ready2bsocial's tax-exempt status and interest when it is contemplating entering a transaction or arrangement that might benefit the private interest of an officer, board of director or program board member of the organization. In addition, it might result in a possible excess benefit transaction. This policy is intended to supplement, but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Section 2: financial interest- because a financial interest is not necessarily a conflict of interest, a person who has a financial interest may have a conflict of interest only if ready2bsocial decides that a conflict of interest exists. A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: an ownership or investment interest in any entity with which ready2bsocial has a transaction or arrangement, a compensation arrangement with ready2bsocial or with any entity or individual with which ready2bsocial has a transaction or arrangement, or a potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which ready2bsocial is negotiating a transaction or arrangement. Section 3: compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. Section 4: duty to disclose- in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to ready2bsocial members considering the proposed transaction or arrangement. Section 5: determining whether a conflict of interest exists- after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board, committee or program board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board, committee or program board members shall decide if a conflict of interest exists. Section 6: individuals that approve compensation arrangements will follow a conflict-of-interest policy. Section 7: ready2bsocial will you approve compensation arrangements in advance of paying compensation. Section 8: ready2bsocial will record in writing the decision made by everyone who decided or voted on compensation arrangements section 9: ready2bsocial will document in writing the date and terms of approved compensation arrangements. Section 10: ready2bocial will complete a market analysis of other entities who provide similar social emotional redirection and support services for students in grades k-12. From the analysis, services offered by the ready2bsocial program are noted in writing and are paired with a range of compensation which could be offered to ready2bsocial program contractors. All contractors receive an offer letter describing the rationale behind offered compensation and details of their assigned role. Section 11: ready2bsocial will approve compensation arrangements based on information about compensation paid by similarly situated taxable or tax-exempt organizations for similar services, current compensation surveys compiled by independent firms, or actual written offers from similarly situated organizations and recording in writing both the information on which you relied to base your decision and its source.
