“Amendments to bylaws regarding officer duties and establishing a board quorum 4.08.01 treasurer. The treasurer shall: (a) have access for the review all funds and securities of the "foundation; and, (b) have access for the review for moneys due and payable to the corporation from any source and further deposited into the corporation's name in banks, trust companies, or other depositories that the board shall select; and, (c) confirm that the books and records are timely submitted to a certified public accountant or other accountant for annual audit or review; and, (d) perform all duties incident to the office of treasurer and any other duties that the chair of the board or board may assign to the treasurer. A majority of the number of directors shall constitute a quorum for the transaction of business at any board of director's meeting. (a) absent board members may give their written and signed proxy to a board member in attendance at a board of director's meeting. Such proxy can be counted in determining a quorum. To streamline operations and to enable the foundation to timely meet the needs of the community, the board by unanimous vote on may 16, 2023, grants the following: the executive director shall have discretionary spending approval up to $10,000 so long as same comports to the mission of the foundation; and, the executive director and the chairperson shall have discretionary spending approval up to $25,000 so long as same comports to the mission of the foundation.”

“A copy of the 990 is provided to the board electronically and the board is given a week to review and respond with any concerns or questions.”
