When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. After a disclosure has been made, the individual in question will then leave the meeting, and the governing board or relevant committee will then discuss the disclosure, including whether or not the proposed transaction or arrangement is in the best interest of the organization. The remaining disinterested members will vote on the matter and whether or not the organization should enter into the proposed transaction or arrangement. This is documented within the minutes to the meeting.”
