Project Ready

“The form 990 will be completed annually and copies will be made available to the executive director and the project ready board members upon request. The executive director will review a draft of the 990 and provide any feedback and necessary changes to the chief operating officer. Any necessary changes will then be updated on the form. Once all necessary changes are made and the executive director is okay with final review, it will be signed by the executive director, dated and submitted by the filing deadline. A copy of the approved form 990 will be provided to all of the trustees before the return is filed.”

“The organization require that each trustee, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: 1. Has received a copy of the policy; 2. Has read and understands the policy; 3. Has agreed to comply with the policy; and 4. Understands the corporation is tax-exempt and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.”

“The fixing of salaries of officers shall require the affirmative vote of a majority of the entire board, subject to the following restrictions: 1) trustees who receive any compensation for services in any capacity, directly or indirectly, from the corporation may not vote on matters pertaining to that trustee's compensation. 2) trustees and officers shall disclose to the board any financial interest that the trustee or officer directly or indirectly has in any person or entity that is a party to a transaction under consideration by the board. The interested trustee or officer shall abstain from voting on the transaction. 3) prior to entering into any compensation agreement, contract for goods or services, or any other transaction with any person who is in a position to exercise influence over the affairs of the corporation, the board shall establish that the proposed transaction is reasonable when compared with a similarly-situated organization for functionally comparable positions, goods or services rendered.”
