“The executive committee has the powers of the board and may conduct the business of the corporation. The executive committee is composed of the chairperson, president and ceo, should those functions function separately, immediate past chairperson, secretary, and treasurer and two at-large members, appointed by the chairperson and acceptable to a majority of the board.”
