Governance Explanations

Form 990, Part VI, Section A, Line 3

Arizona association of community health centers, inc ("aachc"), a related 501(c)(3) organization, provides management and financial oversigt services to collaborative ventures network ("cvn"). The organization has no employees. Aachc leases employees to cvn and manages its payroll. Cvn reimburses aachc for actual costs of employees' allocated payroll and payroll-related expenses based on an allocation of time spent on activities directly related to cvn. Compensation reported on lines 7 - 10 of part ix is for reimbursed allocated payroll costs for employees paid by the related organization.

Form 990, Part VI, Section A, Line 4

The organization amended its bylaws to update the structure of its board of directors and executive committee, as summarized below. In addition, the elected officers of the corporation shall now serve for two year terms. The number of directors shall be equal to the number of members of the corporation plus two (2) ex officio members. The executive committee shall be composed of seven (7) persons, consisting of the aachc president and chief executive officer/president and chief executive officer of the corporation, who shall serve without vote; the chair of the aachc board of directors (or other appointed aachc representative if the chair is not eligible), and the chair, vice chair, secretary, treasurer, and immediate past chair of the corporation. The chair of the aachc board of directors may not serve as an officer of the corporation while serving as the aachc chair role.

Form 990, Part VI, Section A, Line 6

The corporation shall have one (1) class of members. Health center program grantees, look-alikes, and other federally qualified health centers operating within arizona may become a full member of the corporation upon application for membership and approval by the board of directors of the corporation and upon receipt of assessed dues. At least 51% of the corporation's membership shall be comprised of health center program grantees.

Each member shall have the right to appoint one director to the board of directors who shall be the chief executive officer of the member organization, unless another representative of the member is approved by the board.
