“Prior to completing form 990, the independent auditors completed an audit of the company. The audit report was presented to the full board of directors for review, comment and approval. The 990 is prepared by the independent auditors which has the effect of being reviewed by the board of directors, the managing director is charged by the board with completing and filing the form 990.”

“Each director and officer is required to disclose to the general counsel of the company any potential conflict of interest. The general counsel is empowered to notify the executive committee of any unresolved conflicts of interest. The executive committee in turn, is charged with resolving any conflicts.”

“The compensation committee is comprised of the chairman of the board, the president, the treasureer, and the secretary. These individuals are charged with recommending the compensation of the managing director and cfo. Per the by-laws, the compensation committee makes its recommendation to the full board of directors. The compensation committee has access to independent data as well as company performance information. The full board must vote affirmatively in order for the compensation of the managing director and cfo to be changed. All other compensation decisions are for subcontactors.”
